These Terms and Conditions (“Terms”) govern access to and use of moravadna.com (the “Site”) and any purchase from MORAVA, LLC, a Florida limited liability company (“MORAVA,” “we,” “us,” or “our”). By accessing the Site, applying for a research account, or placing an order, you agree to these Terms.

1. Eligibility and Account Approval

The Site and its products are intended exclusively for qualified laboratories, biotechnology companies, contract research organizations, universities, government organizations, and other verified research entities. You must be at least 21 years old and authorized to act on behalf of your organization to apply for a research account. All accounts are subject to manual review and approval, restriction, or rejection at our sole discretion, as described on the Research Account Application page. Approval does not guarantee ongoing access, and we may suspend or revoke an approved account at any time for the reasons described in that page and in Section 6 below.

2. Research-Use Restriction

All products offered by MORAVA are intended exclusively for legitimate laboratory research. They are not intended for human or veterinary use, consumption, administration, diagnosis, treatment, prevention, patient compounding, or personal experimentation. MORAVA is not a pharmacy, medical clinic, or healthcare provider, and nothing on this Site constitutes medical advice, dosing information, or administration instructions.

By placing an order, you certify that the materials are being purchased exclusively for legitimate laboratory research and will not be used in or administered to humans or animals, consistent with the attestation required at checkout.

3. Orders and Acceptance

Placing an order is an offer to purchase, not an acceptance by us. We reserve the right to accept, reject, or place any order on compliance hold for any reason, including the compliance triggers described on the Institutional Purchasing and order-workflow pages. Product listings, pricing, and availability are subject to change without notice. We make no representation regarding product specifications, purity, or availability beyond what is stated as verified on a specific product’s technical documentation.

4. Pricing and Payment

Prices are listed in U.S. dollars and are subject to change without notice. Payment terms for approved institutional accounts are described on the Institutional Purchasing page. We use a third-party payment processor to handle payment card transactions; we do not store your full payment card information.

5. Intellectual Property

All content on this Site, including the MORAVA name, the molecular butterfly logo, text, graphics, product descriptions, and technical documentation, is the property of MORAVA or its licensors and is protected by intellectual property law. You may not copy, reproduce, distribute, or create derivative works from Site content without our prior written consent.

6. Account Suspension and Termination

We may suspend or terminate your account, in whole or in part, if you violate these Terms, misuse the research-account approval process, misrepresent your organization or intended use, use products for any purpose other than legitimate laboratory research, or for any of the reasons described in our Restricted Sales Policy. Suspension or termination does not entitle you to a refund for orders already fulfilled in accordance with our Returns, Claims and Discrepancies Policy.

7. Disclaimer of Warranties

Except as expressly stated in product-specific documentation that has been verified and published by MORAVA, products and the Site are provided “as is” without warranties of any kind, express or implied, including implied warranties of merchantability or fitness for a particular purpose. We do not warrant that the Site will be uninterrupted or error-free.

8. Limitation of Liability

To the maximum extent permitted by law, MORAVA shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site or any product, including damages resulting from misuse of a product in violation of the research-use restriction in Section 2. Our total liability for any claim arising from a purchase shall not exceed the amount you paid for the product giving rise to the claim.

9. Indemnification

You agree to indemnify and hold MORAVA harmless from any claim, loss, or liability, including reasonable attorneys’ fees, arising from your use of a product in violation of the research-use restriction in Section 2, your breach of these Terms, or your violation of any applicable law.

10. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. Any dispute arising from these Terms or your use of the Site shall first be submitted to good-faith mediation, and if unresolved, to binding arbitration seated in [County to be specified], Florida, consistent with the dispute resolution approach used in our governing documents.

11. Changes to These Terms

We may update these Terms from time to time. Continued use of the Site after a change constitutes acceptance of the updated Terms.
